  3.             MUTUAL AGREEMENT TO CANCEL LEASE
  4.  
  5. {LANDLORD_NAME} as LANDLORD and {TENANT_NAME} as Tenant executed 
  6. a certain lease dated {LEASE_DATE} for the premises described as:  
  7. {PREMISES}; and the parties desire to cancel said lease;
  8.  
  9. Now, in consideration of their mutual promises and other good and 
  10. valuable considerations, receipt of which is hereby acknowledged, 
  11. the parties hereby agree to terminate and cancel said lease 
  12. effective {END_DATE} at which time, Tenant agrees to vacate said 
  13. premises.
  14.  
  15. All rights and obligations of the parties under said lease shall 
  16. be cancelled and discharged as of said date except those rights 
  17. and obligations accruing prior to said date and which have not 
  18. been exercised, performed or discharged.
  19.  
  20. This Agreement shall be binding upon, and inure to the benefit of 
  21. the parties hereto, their heirs, successors and assigns.

  33. .TX2 *** EQUIPMENT OR PERSONAL PROPERTY -LEASE FOR USE OF *******
  34.                       EQUIPMENT LEASE

  37. 1.  PARTIES.  This agreement is made this date between 
  38. {LESSOR_NAME} of {LESSOR_ADDR}, herein called "Lessor," and 
  39. {LESSEE_NAME} of {LESSEE_ADDR}, herein called "Lessee."
  40.  
  41. 2.  LEASE OF EQUIPMENT.  For and in consideration of the 
  42. covenants and agreements hereinafter contained, to be kept and 
  43. performed by lessee, lessor has leased and does hereby lease to 
  44. lessee the personal property known and described as follows:
  45.

  48. hereafter referred to as "the equipment", to have and to hold 
  49. the same unto Lessee for the period of {MONTHS_TERM} months 
  50. commencing {START_DATE}.
  51.  
  52. 3.  DELIVERY AND RETURN OF PROPERTY.  Lessor shall deliver the 
  53. equipment to {DELIVERY_ADDR}, freight prepaid.  At the end of 
  54. the term thereof Lessee shall return the equipment freight 
  55. prepaid to Lessor at the place from which it was shipped in as 
  56. good condition as it was in at the commencement of the term, 
  57. reasonable wear and tear excepted.
  58.  
  59. 4.  RENT.  Lessee shall pay as rent for this lease the sum of 
  60. {RENT_AMOUNT} at the office of Lessor at {LESSOR_ADDR} in 
  61. {RENT_MONTHS} monthly installments of {MONTHLY_RENT} each, 
  62. payable in advance on the first day of each month beginning 
  63. {START_DATE}. and continuing for the term of the lease.
  64.  
  65. 5.  RESERVATION OF TITLE.  Equipment and all parts thereof shall
  66. retain its character as personal property and the title thereto 
  67. shall remain in Lessor during the term of this Lease.
  68.  
  69. 6.  REPOSSESSION.  If Lessee shall sell, assign or attempt to 
  70. sell or assign, equipment or any interest therein, or if Lessee 
  71. defaults in any of the covenants, conditions or provisions of 
  72. this Lease, it is agreed that Lessor may immediately and 
  73. without notice take possession of equipment wheresoever found 
  74. and to remove and keep or dispose of the same and any unpaid 
  75. rentals shall at once become due and payable.
  76.  
  77. 7.  LOCATION AND USE.  Lessee shall use the leased equipment only 
  78. in {USE_LOCATION} and shall not remove it from that location 
  79. without the specific written consent of Lessor, except to return 
  80. it to Lessor.

  82. 8.  INDEMNIFICATION OF LESSOR.  Lessee shall and does hereby 
  83. agree to protect and save Lessor harmless against any and all 
  84. losses or damage to equipment by fire, flood, explosion, tornado 
  85. or theft and Lessee shall and does hereby assume all liability to 
  86. any person whomsoever arising from the location, condition or use 
  87. of equipment, and shall indemnify Lessor of and from all liability, 
  88. claims or demands whatsoever arising from the location, condition, 
  89. or use of equipment whether in operation or not, and growing out 
  90. of any cause related to this Lease or arising while the equipment 
  91. is in the possession of Lessee.  Lessee also agrees to promptly 
  92. reimburse Lessor, in cash, for any and all personal property 
  93. taxes levied against equipment and paid by Lessor.
  94.  
  95. 9.  TIME OF ESSENCE.  Time is of the essence of this agreement.
  96.  
  97. 10.  NO ASSIGNMENT.  Neither this Lease and agreement nor any 
  98. right or interest thereunder shall be assigned by Lessee.
  99.  
  100. 11.  CHOICE OF LAW.  This Lease and agreement shall be governed 
  101. in all respects by the laws of the State of {LAW_STATE} and shall 
  102. be construed, enforced and performed in accordance with the laws 
  103. thereof.
  104.  
  105. 12.  EXCLUSION OF ORAL STATEMENTS.  This agreement supersedes all 
  106. prior agreements or arrangements between the parties and shall 
  107. not be modified, amended or terminated except in writing signed 
  108. by each of them.
  109.  
  110. 13.  GUARANTY.  All parts of this equipment are guaranteed 
  111. against defective parts or workmanship for a period of ninety 
  112. (90) days from date of delivery and any parts returned to the 
  113. factory freight prepaid will be replaced free of charge if found 
  114. defective.
  115.  
  116. 14.  DATE.  Executed {EXEC_DATE}.

  135. .TX3 *** LEASE OF PERSONAL PROPERTY WITH OPTION TO PURCHASE *****
  136.              LEASE AGREEMENT WITH OPTION TO PURCHASE
  137.  
  138.      I, {LESSEE_NAME} of {LESSEE_ADDR} (Lessee) hereby lease and 
  139. hire of {LESSOR_NAME} of {LESSOR_ADDR} (Lessor) the following 
  140. property:
  141.  
  142. {PROPERTY_DESCRIPTION},
  143.  
  144. upon the following terms and conditions:
  145.  
  146.      The leased property is to be used by Lessee at the following 
  147. location and shall remain at said location throughout the term of 
  148. this lease:
  149.

  151.  
  152.      Lessee agrees to pay to Lessor, in {NMBR_INSTL} installments 
  153. of {INSTL_AMOUNT} each, the first installment being paid upon the 
  154. execution of this agreement and subsequent installments on the 
  155. {PAY_DAY} day of each succeeding month.
  156.  
  157.     Lessee agrees that, in event of the happening of any one or 
  158. more of the following events:
  159.  
  160.      1.  Failure to pay any installment of rent,
  161.      2.  Removal of the leased property from the above location
  162.          without the prior written approval of Lessor,
  163.      3.  Lessee is adjudicated a bankrupt, becomes insolvent or
  164.          enters into a compromise agreement with creditors,
  165.      4.  Assignment, mortgage, pledge or delivery of possession
  166.          of the leased property,
  167.      5.  Seizure or attachment of the leased property by anyone
  168.          other than Lessor,
  169.  
  170. then, in that event, Lessee shall be in default hereunder and 
  171. Lessor shall be entitled to retain all payments of rent for the 
  172. use of said property and shall be entitled to enter into or upon 
  173. the premises where the property is located and take possession 
  174. thereof, it being understood that the leased property shall 
  175. remain the sole and absolute property of {LESSOR_NAME} and that 
  176. it is only lent or hired to the Lessee.
  177.  
  178.      At the expiration of the term of this lease Lessee agrees to 
  179. surrender and return the leased property in good order and 
  180. condition, normal wear and tear excepted.  After such surrender 
  181. it is agreed that, at the option of Lessee, the said Lessee shall 
  182. have the right to purchase the leased property upon the further 
  183. payment of {OPTION_PAYMENT} provided all rentals have been paid 
  184. as agreed upon above.

  186.      Lessee further agrees to take reasonable care of the leased 
  187. property during the term of this lease and, in the case of damage 
  188. by fire, or otherwise, will bear the risk of loss.
